Advis­ing clients and act­ing as coun­sel in the area of cor­po­rate law involves all stages of com­pa­ny devel­op­ment — from its found­ing to wind­ing it up. One focus of our prac­tice is to assist our clients in cor­po­rate trans­ac­tions and restruc­tur­ing (M&A). This means trans­ac­tions involv­ing the imple­men­ta­tion of expan­sion plans as well as suc­ces­sion arrange­ments. We advise both buy­ers and sell­ers of com­pa­nies and sup­port our clients from the ear­ly stages in the estab­lish­ment of pur­chase or sale struc­tures, in the exe­cu­tion of due dili­gences, but also in the prepa­ra­tion and nego­ti­a­tion of con­trac­tu­al agreements.

The cor­po­rate law advice pro­vid­ed by our attor­neys includes as an addi­tion­al area of work sup­port of man­ag­ing direc­tors, share­hold­ers and advi­so­ry boards on all issues involv­ing the struc­tur­ing of their activ­i­ties. We are often com­mis­sioned to draft prac­ti­cal cor­po­rate agree­ments such as arti­cles of asso­ci­a­tion, ser­vice agree­ments for man­ag­ing direc­tors and rules of pro­ce­dure. But also the duties of the com­pa­ny’s gov­ern­ing insti­tu­tions in their exter­nal rela­tions and the coop­er­a­tion between these gov­ern­ing insti­tu­tions in accor­dance with the arti­cles of asso­ci­a­tion and the law are often part of our work. Final­ly, advis­ing and act­ing as coun­sel for share­hold­ers of medi­um-sized com­pa­nies in dis­putes with oth­er part­ners and share­hold­ers is a reg­u­lar task of our lawyers — if nec­es­sary also before the reg­u­lar courts or in arbi­tra­tion proceedings.
