Advising clients and acting as counsel in the area of corporate law involves all stages of company development — from its founding to winding it up. One focus of our practice is to assist our clients in corporate transactions and restructuring (M&A). This means transactions involving the implementation of expansion plans as well as succession arrangements. We advise both buyers and sellers of companies and support our clients from the early stages in the establishment of purchase or sale structures, in the execution of due diligences, but also in the preparation and negotiation of contractual agreements.
The corporate law advice provided by our attorneys includes as an additional area of work support of managing directors, shareholders and advisory boards on all issues involving the structuring of their activities. We are often commissioned to draft practical corporate agreements such as articles of association, service agreements for managing directors and rules of procedure. But also the duties of the company’s governing institutions in their external relations and the cooperation between these governing institutions in accordance with the articles of association and the law are often part of our work. Finally, advising and acting as counsel for shareholders of medium-sized companies in disputes with other partners and shareholders is a regular task of our lawyers — if necessary also before the regular courts or in arbitration proceedings.
