In the field of cor­po­rate law, our notaries main­ly advise and assist medi­um-sized com­pa­nies and their share­hold­ers. Our prac­tice in this field includes the found­ing of com­pa­nies — such as GmbH (pri­vate lim­it­ed), GmbH & Co. KG or joint stock cor­po­ra­tions (Aktienge­sellschaften) — in the con­text of which the choice of the appro­pri­ate legal form and the draft­ing of bal­anced arti­cles of asso­ci­a­tion are of cru­cial impor­tance. The notari­sa­tion of amend­ments to arti­cles of asso­ci­a­tion and oth­er share­hold­er res­o­lu­tions are also fre­quent sub­jects of our notaries’ offi­cial busi­ness, however.

A fur­ther focus of our fir­m’s notar­i­al prac­tice in the field of cor­po­rate law is the notari­sa­tion of com­pa­ny pur­chase agree­ments and oth­er dis­pos­als of com­pa­ny shares. Our notaries also fre­quent­ly notarise mea­sures con­duct­ed under the Ger­man Trans­for­ma­tion Act (Umwand­lungs­ge­setz) (merg­ers, demerg­ers, changes of legal form) or oth­er restruc­tur­ing mea­sures. Final­ly, our notaries draw up and cer­ti­fy appli­ca­tions filed with com­mer­cial reg­is­ters almost on a dai­ly basis, such as appoint­ments and dis­missals of man­ag­ing direc­tors and autho­rised sig­na­to­ries, amend­ments to arti­cles of asso­ci­a­tion requir­ing reg­is­tra­tion or changes to domes­tic busi­ness addresses.
